How to register new Business

So, you have decided to start a business, to open a shop, an office, a kiosk or any other business from which you hope to generate income. Before starting to exercise this economic activity, the law requires that the business be registered with the Business Registration Agency.

“Economic activity in Kosovo can be exercised only by Business Organizations registered in the Business Registration Agency, unless otherwise expressly provided by law.”

These are the types of businesses that can be registered:

“A Commercial Company can be established in Kosovo as an Individual Business, General Partnership, Limited Partnership, Limited Liability Company or Joint Stock Company.

and these are the registration procedures.

For the initial registration of the business you need:

1. Fill in the application form.

There is a specific application form for each type of business (for individuals or for corporations). Therefore, the applicant must be determined whether to apply as a natural person (individual business, partnership, etc.) or as a legal entity (corporation). More information in law no. 06 / L-016 on Business Organizations.

2. Submit the application for registration to KBRA

The applicant (or authorized person) submits the application in person to KBRA, along with other necessary documents.

The application must be signed by the applicant or an authorized representative.

He / she is identified with the KBRA officer through an original identification document.

The KBRA official verifies the application and accompanying documents

No registration fee is applied for initial business registration. The fee is paid only if the applicant seeks to make changes to the existing business.

Registration of Individual Business or General Partnership in KBRA is expected to be completed within 2 days.

Documents required to register an Individual Business (I.B.) or General Partnership (G.P.):

1. Form B,
2. Identification document (identity card, passport),
3. Consent of the Registered Representative (article 24.5 point d),
4. Agreement of general partners, for General Partnership (article 31.1.3)

Documents required for registration of a Limited Partnership (L.P.)

1. Form A0,
2. The company agreement (Article 32.13),
3. Statutes,
4. Identification document (identity card, passport) copies of owners, authorized representatives involved in the business,
5. Consent of the Registered Representative (Article 24.5)

The registration of a Limited Liability Company and a joint stock company in KBRA is expected to be completed within 3 days.

Documents required for registration of a Limited Liability Company (LLC):

1. Form A0,
2. The company agreement (Article 82.1),
3. Statutes (Article 33),
4. Identification document (identity card, passport) copies of owners, authorized representatives involved in the business,
5. Consent of the registered representative (Article 24.5)

Necessary documents for registration of Joint Stock Companies (JSC):

1. Form A0,
2. Statutes (Article 34.1.3)
3. Company Agreement or Regulation (Article 34.4),
4. Consent of the registered representative (Article 24.5)
5. Identification document (ID card, passport) copies of the owners, authorized representatives involved in the business.

Documents required for registration of a Foreign Company-Branch in Kosovo:

1. Forms A0,
2. Decision to open a foreign company,
3. Decision on the appointment of the Director (copy passport) and the Registered Representative (copy ID),
4. Certificate or registration extract (original or notarized copy, not older than three months from the date of issue in Albanian, Serbian or English, notarized) that opens a representative office in Kosovo,
5. Copy of the passport of the owner and director of the foreign company,
6. Consent of the Registered Representative (Article 24.5).

The business owner can authorize the applicant to submit the documents (authorization and copy of ID required).
